By registering as a Merchant or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms.
1. Eligibility
1.1 The Platform is available solely to legally registered businesses authorized to sell hair extensions or related products.
1.2 You represent and warrant that you:
(a) own the products you list; or
(b) possess all necessary rights and authorizations to sell and promote such products.
1.3 You agree to comply with all applicable laws, regulations, and industry standards.
1.4 The Company reserves the right to verify Merchant eligibility at any time.
2. Scope of Services
2.1 The Platform provides brand listings, shade matching visibility, and optional advertising placements.
2.2 The Company does not:
- Sell products on behalf of Merchants;
- Process customer payments;
- Handle shipping, returns, or customer support.
2.3 The Platform functions solely as a discovery and advertising service.
3. Merchant Accounts
3.1 Merchants are responsible for maintaining the confidentiality of account credentials.
3.2 Merchants are fully responsible for all activities conducted through their accounts.
3.3 The Company may suspend or terminate accounts that violate these Terms.
4. Fees and Payments
4.1 All Merchant fees are billed outside the mobile application.
4.2 Fees are non-refundable unless otherwise required by law or expressly stated in writing.
4.3 Failure to pay applicable fees may result in account suspension or removal.
5. Advertising and Sponsored Placements
5.1 Merchants may purchase sponsored placements, featured listings, or other promotional visibility options as offered by the Company.
5.2 All sponsored placements are clearly labelled as paid advertisements and do not influence hair colour matching accuracy or algorithmic results.
5.3 Right to Remove or Suspend Advertisers
We reserve the right, at our sole discretion and without prior notice, to remove, suspend, restrict, or modify any advertiser, sponsored placement, or advertising content if:
- the content violates applicable laws, regulations, or platform policies.
- continued display may risk app store rejection, suspension, or removal.
- our advertising, content, or placement policies change; or
- we determine that the content is misleading, harmful, or inconsistent with user trust.
5.4 Removal or suspension under this section does not guarantee a refund, except where required by applicable law.
5.5 Platform Policy Changes & Availability
Merchants acknowledge that mobile platform, app store, and regulatory policies may change without notice and agree that advertising availability, placement, format, or duration is not guaranteed.
6. Matching Accuracy Disclaimer
6.1 Hair color matching results are generated algorithmically and are indicative only.
6.2 The Company makes no guarantee regarding matching accuracy or commercial outcomes.
7. Merchant Content
7.1 Merchants are solely responsible for the accuracy and legality of all submitted content.
7.2 Merchants warrant that their content does not infringe intellectual property rights or mislead users.
7.3 The Company may remove content that violates these Terms or applicable policies.
8. Intellectual Property
8.1 Merchants retain ownership of their intellectual property.
8.2 Merchants grant the Company a non-exclusive, royalty-free license to use Merchant content for Platform operation and promotion.
8.3 The Company retains all rights to the Platform and underlying technology.
9. External Transactions
9.1 All transactions occur exclusively between Merchants and customers.
9.2 The Company bears no responsibility for disputes, refunds, or product fulfillment.
10. Data and Analytics
10.1 Analytics provided are informational only and provided “as is.”
10.2 Merchants may not misuse or extract Platform data.
11. Suspension and Termination
11.1 The Company may suspend or terminate Merchant access at its discretion for violations of these Terms.
11.2 No refunds shall be issued for unused subscription periods.
12. Disclaimers and Limitation of Liability
12.1 The Platform is provided “as is” and “as available.”
12.2 The Company disclaims all warranties to the fullest extent permitted by law.
12.3 Liability is limited to fees paid in the preceding twelve (12) months.
13. Indemnification
Merchants agree to indemnify and hold the Company harmless from claims arising from Merchant products, content, or conduct.
14. Governing Law
These Terms shall be governed by the laws of England and Wales.

These Merchant Terms and Conditions (“Terms”) constitute a legally binding agreement between Qin Dynasty Ltd (“Company,” “we,” “us,” or “our”) and any hair extension brand, manufacturer, retailer, or online shop (“Merchant,” “you,” or “your”) that registers for, accesses, or uses the HTR Hair Colour Match mobile application, website, and related services (collectively, the “Platform”).
